1. Acceptance of Terms

By accessing or using Fractify AIScan ("the Platform"), you agree to be bound by these Terms and Conditions. If you are using the Platform on behalf of a healthcare institution, you represent that you have authority to bind that institution to these Terms. If you do not agree, do not use the Platform.

2. Eligibility and Authorized Use

Fractify AIScan is intended exclusively for use by:

• Licensed healthcare professionals (physicians, radiologists, dentists, and other clinicians).
• Authorized administrative staff within licensed healthcare institutions.

Use by unlicensed individuals, or use outside the context of legitimate clinical care, is strictly prohibited. Accounts are granted by institutional administrators and must not be shared.

3. Medical Disclaimer — Not a Substitute for Medical Diagnosis

AI-generated results, reports, and recommendations produced by Fractify AIScan are provided for informational and clinical decision-support purposes only. They:

• Do NOT constitute a definitive medical diagnosis.
• Do NOT replace the professional judgment of a licensed healthcare provider.
• Should ALWAYS be reviewed, correlated with clinical findings, and confirmed by a qualified professional before any treatment decision is made.
• May contain errors, false positives, or false negatives inherent to AI-based analysis.

Fractify and its operators shall not be liable for any clinical decisions made solely on the basis of AI-generated output without independent clinical verification.

4. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify your system administrator immediately if you suspect unauthorized access to your account. You must not share your account with others or allow any unauthorized person to access the Platform using your credentials.

5. Patient Data Obligations

When you enter patient data into the Platform, you represent that:

• You have the legal right and any necessary patient consent to process that data.
• You are complying with applicable healthcare data protection laws (including but not limited to HIPAA, GDPR, or equivalent national regulations).
• You will not enter false, fabricated, or misleading patient information.

6. Intellectual Property

All software, AI models, interfaces, and content of the Fractify AIScan platform are the intellectual property of Fractify and its licensors. You may not copy, reverse-engineer, decompile, or create derivative works from any part of the Platform.

Reports generated by the Platform based on data you submit remain associated with the submitting institution's records. Fractify retains the right to use anonymized, non-identifiable data to improve the AI models.

7. Prohibited Uses

You must not use the Platform to:

• Upload images or data unrelated to legitimate clinical care.
• Attempt to extract, scrape, or reverse-engineer the underlying AI models.
• Circumvent any security or access-control measures.
• Upload malicious files, scripts, or content.
• Process data of individuals without appropriate authorization.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Fractify and its operators shall not be liable for:

• Any clinical harm resulting from reliance on AI-generated results without independent clinical verification.
• Indirect, incidental, or consequential damages arising from use of or inability to use the Platform.
• Loss of data due to circumstances outside our reasonable control.

The Platform is provided "as is" without warranties of any kind, express or implied, including warranties of fitness for a particular clinical purpose.

9. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Platform. Scheduled maintenance, server upgrades, or unforeseen events may cause temporary unavailability. Critical clinical decisions should not depend solely on platform availability.

10. Termination

We reserve the right to suspend or terminate access to the Platform for any account that violates these Terms, engages in misuse, or poses a security risk. Institutional administrators may request account termination through their system administrator.

11. Changes to These Terms

We may revise these Terms periodically. Material changes will be communicated to institutional administrators. Continued use after the effective date of revised Terms constitutes acceptance.

12. Governing Law

These Terms are governed by applicable law. Disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of the jurisdiction in which the Platform operator is registered.
